These Terms and Conditions (‘Ts&Cs’) constitute a binding legal contract between you and us and set out the terms that govern your access to and use of our website, services or products.

To use the Services, you must accept the Ts&Cs. If you are using our services on behalf of an entity, you must be, and hereby warrant that you are, duly authorised to enter into a binding contract on behalf of that entity.
We reserve the right to modify these Ts&Cs in the future as we deem necessary. If we do modify these Ts&Cs, we will notify you via the website at your next login and post the updated Ts&Cs on the site and change the ‘Last Updated’ date above to reflect the date of the changes, so check these Ts&Cs regularly. Such modifications shall not apply retroactively.
By continuing to use the Services after we post any such changes, you accept the Ts&Cs as modified. If you do not accept the Ts&Cs as modified, do not use the Services. Our obligations with respect to the Services are governed solely by these Ts&Cs and nothing else should be construed to alter or increase ICT4C’s obligations, unless or as required by law.
You understand and agree that all submissions of information and content by you on or through the Services are at your own risk and are subject to these Ts&Cs, including but not limited to the appropriate sections below.
Registration is required to use some of the Services. You will be prompted to register and create your own account when you attempt to use a service that requires one.

Some services may not work properly if the System Requirements are not met.
The speed at which many of our Services responds depends upon the speed of your internet connection and your device.
We reserve the right to terminate your use of the Services at any time for any reason, including but not limited to: (i) breach of these Ts&Cs by you or anyone associated with your organisation, (ii) your infringement of our or others’ intellectual property rights, (iii) non-payment for the Services, if applicable, (iv) conduct harmful to other users, or to the business of ICT4C or our affiliates, or (v) those reasons otherwise described in these Ts&Cs. Any such termination may be without any refund to you of any applicable advance payments.
You may terminate your use of the Services at any time by ceasing your use of the Site and the Services.
Upon termination of your use of the Services (whether such termination is the result of termination by us or termination by you), any rights granted to you pursuant to these Ts&Cs will terminate, and you must immediately cease all access to and use of them. Upon such termination, your access rights to the Services will immediately terminate, and you will destroy all resources which you may have downloaded.
You agree that we will not be liable to you or to any third party for any termination of your access to the Services or for deletion and cancellation of your orders at any time, unless or as required by law.
You also agree that we may collect and use technical and performance information you provide, and that our systems and personnel observe, in connection with support services related to the Service and the operation of the site. We will not use this information in a form that personally identifies you except to the extent necessary to provide such services, improve the Services or Program performance, provide additional features and functionality to the site or Services, exercise our rights under these Ts&Cs and make marketing offers to you in accordance with your privacy preferences.

As a convenience to users, we also may make third party software available through the Services, including by downloading. To use such software, you must agree to the terms and conditions required by the third party provider. The agreement to use such software will be solely between you and the third party provider. We make no representations or warranties concerning, and are not liable or responsible in any manner for, any performance, effectiveness or other aspects of such software.
ICT4C may provide products (such as hardware or software) or services under the terms of a separate agreement between you and ICT4C (each, an ‘Other Agreement’). ICT’s obligations with respect to any product or service that it makes available to you under any Other Agreement shall be governed solely by the Other Agreement under which such product or service is provided and these Ts&Cs shall not be construed to alter the terms of such Other Agreements. In addition, ICT4C may designate a third party to provide products or services in connection with the services, which may be subject to the terms of separate agreements between you and such third parties.
We reserve the right at any time to modify, suspend, or discontinue the Services, or any part, version or feature thereof. We will notify you of any such material modifications to or suspensions or discontinuations of the service by posting a notice on the Site or sending a notice to you via email. We will not be liable to you or any third party for any modification, suspension or discontinuation of the services, or for any failure to notify you of same. If you have a paid subscription for the service and we modify, suspend or discontinue the service due to no action on your part, when applicable, we may provide a pro rata refund of advance payments made.
We have no obligation to monitor your use of the services. You agree, however, that we retain the right to monitor your use of the services and to disclose any information (including but not limited to content) as necessary or appropriate to satisfy any law, regulation or government request, to operate the Services properly, to ensure your compliance with these Ts&Cs, and to protect us, our affiliates, other users and the general public.
We reserve the right, and you hereby authorise us, to cooperate with law enforcement authorities, including but not limited to complying with warrants, court orders and subpoenas. We also reserve the right, and you hereby authorise us, to comply with any civil court orders and subpoenas. In addition, if we decide to investigate or resolve possible misuse by you involving the Services or the Site, you hereby consent to our disclosure to law enforcement or other government officials any information about you in our possession in connection with your use of the Services and the Site.
To the extent permitted by law, you agree to waive any claims you may have against us and against our subsidiaries, affiliates, our and their respective employees, officers, directors, agents, licensors, partners and suppliers (collectively, ‘ICT4C affiliates’) relating to any action taken by us or any ICT4C affiliates as part of our or their investigation of a suspected violation of these Ts&Cs, any action taken by us or any ICT4C affiliates as a result of our or their conclusion that a violation of these Ts&Cs has occurred, or any action taken by us or any ICT4C affiliates in connection with any circumstances referenced in or otherwise related to this section. Without limiting the generality of the foregoing, you agree that you may not recover any damages whatsoever from us or any ICT4C affiliates as a result of (i) removal of your content from the services or site, (ii) suspension or termination of your use of the services, (iii) any other action taken during the investigation of a suspected violation, or as a result of our or any ICT4C’s affiliate’s conclusion that a violation of these Ts&Cs has occurred, or (iv) provision of your content or other information to third parties pursuant to this section. You hereby release us and all ICT4C affiliates from any liability whatsoever with respect to the foregoing.
You understand that your use of the Services or Site may involve (i) transmitting content over various networks, and (ii) changes to the content to conform and adapt to technical requirements of connecting networks or devices. You should always preserve your original orders or make back-up copies of such content on your personal system(s).
You understand and agree that the submission of any data via the site or services is done at your own discretion without limiting the foregoing, we will only be liable for any loss of information, malfunctions, errors, crashes or other adverse effects that may occur from your use of the services or site that are caused by our negligent performance or breach by us of statutory implied terms.
We make no warranties, representations or endorsements whatsoever with respect to the services or site, and we and our ICT4C affiliates expressly disclaim all warranties and conditions of any kind, express, implied, statutory or otherwise, including, but not limited to, implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement, and lack of viruses, with respect to the services, the site and any information, materials or other content on the services or the site.
Without limiting the foregoing, we do not warrant that the services, the site, or any of their respective functions will be uninterrupted or error-free, that defects will be corrected, or that any part of the services, the site or the servers that make them available are free of viruses or other harmful components. We likewise do not warrant or make any representations regarding the use of, or the results of the use of, the services, the site or information, materials or content on the services or the site in terms of their correctness, accuracy, timeliness, reliability or otherwise. Where you are not a consumer (as defined by applicable law), to the maximum extent permitted by applicable law, the site, the services, the app and the information, materials and content provided on the site, the services and the app are provided on an ‘as is’ and ‘as available’ basis, with all faults.
If you are dissatisfied with the services or the site, or any materials or other content made available via the services or the site, or with these Ts&Cs, discontinue using the services and the site.
Where your are not a consumer (as defined by applicable law), to the extent ICT4C is held legally liable to you, you agree that in no event will our or our ICT4C affiliates’ aggregate maximum liability arising out of any kind of claim (whether under warranty, contract, tort, statute or any other legal theory) in any way connected with the services or the site, or any related materials or other content, exceed the greater of the amount (if any) actually paid by you to us separately for the services or £10.
We do not exclude or limit our liability for negligent performance or breach of statutory implied terms whether or not you are a consumer.
We shall be liable for losses resulting directly from breach by us or our affiliates but, except as indicated above, neither we nor our affiliates shall be liable for losses which do not result directly from our own breach, even if such loss is a foreseeable result of the breach (such loss will include downtime costs or lost profits), or other damage whether based in contract, tort, statute or otherwise.
Except where expressly prohibited by law, you agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or the Site, or related to these Ts&Cs, must be filed within one year after such claim or cause of action arose or be forever barred.
These Ts&Cs are the entire agreement between you and us relating to the Program and any other subject matter covered by these Ts&Cs, and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Services, the Site and any other subject matter covered by these Ts&Cs. Our failure to exercise or enforce any right under or provision of these Ts&Cs will not constitute a waiver of such right or provision. If any provision of these Ts&Cs is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Ts&Cs will remain in full force and effect. You may not assign these Ts&Cs or any of your rights or obligations under the Ts&Cs. These Ts&Cs may be assigned by us and will inure to the benefit of our successors, assigns and licensees. The section titles in these Ts&Cs are for convenience only and have no legal or contractual effect. All ICT4C Affiliates are third party beneficiaries with respect to the provisions in these Ts&Cs that reference them. All provisions in these Ts&Cs that by their nature would survive termination of your right to use the Services (including but not limited to those related to limits on our and our ICT4C Affiliates’ liability, your liability to us and our ICT4C Affiliates, investigations, applicable law and venue, and our right to remove and discard your content from the Program) will survive such termination. These Ts&Cs will be interpreted without application of any strict construction in favour of you or against IC4C.
